These Terms govern your use of the Terrio.ai website and any Terrio services made available through it.
1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the websites operated by Terrio AI, Inc., a Delaware corporation ("Terrio," "we," "us," or "our") that link to these Terms (the "Sites"), and your access to any Terrio software platform or services made available through the Sites (the "Services"). By accessing or using the Sites or the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Sites or the Services.
2. Relationship to customer agreements
Terrio provides its platform to business customers, real estate law firms, title agencies, and settlement service providers (each, a "Firm"), under a separate written agreement (a "Customer Agreement"). If you access the Services on behalf of a Firm, your use is governed by the applicable Customer Agreement, and to the extent these Terms conflict with that Customer Agreement, the Customer Agreement controls with respect to the Services. These Terms otherwise govern all use of the Sites and any use of the Services not covered by a Customer Agreement.
3. Eligibility and authority
The Sites and Services are intended for business use by individuals who are at least 18 years old. If you use the Services on behalf of a Firm or other entity, you represent that you are authorized to accept these Terms on that entity's behalf, and "you" refers to that entity.
4. Accounts and security
Access to certain features requires an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate access to protect the security or integrity of the Services.
5. Acceptable use
You agree not to, and not to permit any third party to:
- use the Sites or Services in violation of any applicable law or regulation, or in furtherance of the unauthorized practice of law;
- access, tamper with, or use non-public areas of the Services, our systems, or the systems of our providers;
- probe, scan, or test the vulnerability of any system or breach any security or authentication measure;
- interfere with or disrupt the integrity or performance of the Services, including through malware or excessive automated requests;
- reverse engineer, decompile, or attempt to derive source code from the Services, except to the extent such restriction is prohibited by law;
- upload or transmit any content or data for which you lack the necessary rights or authorizations; or
- use the Services to develop a competing product or service.
6. Customer data and authorizations
To the extent you or a Firm submit data to the Services, you represent that you have all rights, consents, and authorizations necessary to submit that data and to authorize Terrio to Process it to provide the Services. Terrio's handling of personal information is described in our Privacy Policy, which is incorporated by reference. As between the parties, a Firm's data is and remains the Firm's; Terrio claims no ownership of it.
7. Intellectual property
The Sites and Services, including all software, text, designs, graphics, and other content provided by Terrio, and all intellectual property rights therein, are owned by Terrio or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Sites for their intended business purpose. No rights are granted except as expressly set forth in these Terms or an applicable Customer Agreement. "Terrio," the Terrio logo, and related marks are trademarks of Terrio; you may not use them without our prior written consent.
8. Third-party services and integrations
The Services may interoperate with third-party products, systems, or services (for example, transaction-management, secure-transfer, electronic-recording, or title-service providers). Your use of any third-party service is governed by that third party's terms, and Terrio is not responsible for third-party services. Any integration is enabled only with the applicable Firm's authorization.
9. No legal services; no professional advice
Terrio is a technology provider. Terrio is not a law firm, does not provide legal, title, escrow, or other professional advice, and does not certify title or render legal opinions. The certifying attorney or other licensed professional at the applicable Firm remains solely responsible for professional judgments and work product. Nothing in the Services creates an attorney-client relationship with Terrio.
10. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN AN APPLICABLE CUSTOMER AGREEMENT, THE SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITES OR SERVICES. TERRIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT AS OTHERWISE SET FORTH IN AN APPLICABLE CUSTOMER AGREEMENT.
12. Indemnification
You agree to indemnify and hold harmless Terrio and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Sites or Services in violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Sites or Services at any time, with or without notice, including for a violation of these Terms. Provisions that by their nature should survive termination will survive, including Sections 6 through 14.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Sites will be the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.
15. Changes to these Terms
We may modify these Terms from time to time. If we make material changes, we will post the revised Terms with an updated "Last updated" date. Your continued use of the Sites or Services after the effective date of the revised Terms constitutes acceptance.
